Project Facilitator Programme Terms and Conditions

1. Introduction and Acceptance

These Project Facilitator Program Terms and Conditions ("Project Facilitator Terms") govern your participation in the IKSectors Ltd. Project Facilitator Program ("Program"). By registering as a facilitator, you acknowledge that you have read, understood, and agree to be bound by these Project Facilitator Terms, our Terms of Use, and our Privacy Policy.

IKSectors Ltd. ("Company," "we," "us," or "our") reserves the right to modify these Project Facilitator Terms at any time. We will notify you of material changes via email or through your facilitator dashboard. Continued participation in the Program after such changes constitutes acceptance of the modified terms.

2. Programme Overview

The IKSectors Project Facilitator Programme allows approved participants ("Facilitators") to earn commissions by referring new clients to IKSectors services and, where enabled, to other platforms in the wider IKEcosystem. Facilitators promote our services using unique referral links and earn a percentage of qualifying sales generated through their referrals.

2.1 Services Covered

Commissions are payable on referrals for the following IKSectors services:

• Web development and design projects
• AI automation solutions
• Cloud infrastructure services
• Mobile application development
• DeFi and blockchain solutions
• Digital marketing and social media services
• Consulting and technical advisory services

2.2 Cross-Sector Commissions (IKEcosystem)

Your unique facilitator code is recognised across all participating IKEcosystem platforms (including, where active, IKCupid, IKSites, IKSocial, IKChain, IKIntel and IKXChange). Where a referred user transacts on another sector that has facilitator referrals enabled, you may earn a commission in accordance with the commission rule configured for that sector at the time of the transaction.

Cross-sector commission rates, hold periods, caps, and rule types are set per sector and may differ from the IKSectors default rates. You can view your unified earnings, per-sector referral links, and cross-sector commissions from your IKSectors facilitator dashboard.

3. Eligibility Requirements

To participate in the Project Facilitator Program, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Provide accurate and complete registration information
• Own or control a website, blog, social media account, or other marketing channel
• Comply with all applicable laws and regulations in your jurisdiction
• Not be an existing IKSectors employee, contractor, or their immediate family members

You must be 18 years of age or older to participate in this programme. We verify age through the KYC document you submit. We do not accept facilitators who are minors under any circumstances, including with parental consent.

We reserve the right to accept or reject any facilitator application at our sole discretion without providing a reason.

4. Account Registration and Verification

4.1 Registration

To join the Program, you must complete the online registration form with accurate information including your legal name, contact details, payment information, and tax identification where required.

4.2 Identity Verification (KYC)

Before processing payout requests exceeding certain thresholds or at our discretion, we may require identity verification ("Know Your Customer" or KYC). This may include:

• Government-issued photo ID (passport, national ID card, or driver's license)
• Proof of address (utility bill, bank statement dated within 3 months)
• Tax identification documentation as required by your jurisdiction

Failure to complete KYC verification when requested may result in payout delays or account suspension.

4.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized access.

5. Commission Structure

5.1 Commission Rates

The standard commission rate is 10% of the net project value for qualified referrals. Commission rates may vary based on:

• Service category
• Promotional periods
• Project Facilitator tier or performance level
• Special agreements in writing

5.2 Qualifying Referrals

A referral qualifies for commission when:

• The referred client is a new customer (has not previously engaged IKSectors services)
• The client clicks through your unique facilitator link and completes registration
• The client enters into a paid service agreement within 90 days of the referral
• The client makes payment in full or according to the agreed payment schedule
• The referral complies with all Program rules

5.3 Override Commission Structure

When you make a sale, we pay you the direct commission specified in your tier. When someone you personally recruited makes a sale, we pay you a 1% override on that sale. Override commissions stop at one level. You do not earn anything from sales made by people you did not personally recruit, including people recruited by your recruits.

5.4 Commission Calculation

Commissions are calculated on the net project value after any discounts, refunds, or chargebacks. Commissions are not payable on taxes, shipping, or third-party costs passed through to clients.

6. Payment Terms

6.1 Minimum Payout

The minimum payout threshold is £50 GBP (or equivalent in your selected currency). Commissions below this threshold will accumulate until the minimum is reached.

6.2 Payment Schedule

Payouts are processed monthly, typically within 15 business days after the end of each calendar month, subject to:

• Completion of KYC verification (if required)
• Reaching the minimum payout threshold
• Commissions being in "approved" status (past the holding period)

6.3 Holding Period

Commissions enter a 30-day holding period after the client's payment is received. This allows for potential refunds or chargebacks. Commissions are released for payout only after the holding period expires.

6.4 Payment Methods

We offer the following payout methods (subject to availability in your region):

• Bank transfer via Wise (international)
• PayPal
• Payoneer
• Local bank transfer via Flutterwave or Paystack (Nigeria, Ghana, Kenya, South Africa, and other supported African markets)
• Mobile money via Flutterwave (selected African markets)

You are responsible for any transfer fees charged by payment providers or your bank.

6.5 Currency

Commissions are calculated in the currency of the client's payment. Payouts are made in your selected payout currency. Exchange rates are determined at the time of payout.

6.6 Taxes

You are solely responsible for paying all applicable taxes on your facilitator earnings. We may request tax documentation (e.g., W-8BEN, W-9) and may withhold taxes as required by law.

7. Promotional Guidelines

7.1 Permitted Activities

You may promote IKSectors services through:

• Your personal website or blog
• Social media accounts you own and control
• Email marketing to your own opt-in subscriber list
• Online communities where promotional content is permitted
• Content marketing (articles, reviews, tutorials)
• Video content on platforms like YouTube

7.2 Prohibited Activities

The following promotional methods are strictly prohibited:

• Spam: Unsolicited emails, messages, or posts
• Trademark Bidding: Bidding on "IKSectors" or variations in paid advertising
• False Claims: Making misleading, exaggerated, or false statements about our services
• Cookie Stuffing: Forcing facilitator cookies without user knowledge or consent
• Incentivized Traffic: Offering rewards for clicks or sign-ups without disclosure
• Adult/Illegal Content: Promoting on sites with adult, violent, or illegal content
• Domain Squatting: Registering domains containing "IKSectors" or similar variations
• Self-Referrals: Referring yourself, your company, or entities you control
• Fraudulent Activity: Any form of fraud, deception, or manipulation

7.3 Disclosure Requirements

You must clearly disclose your facilitator relationship with IKSectors in compliance with FTC guidelines, ASA regulations, and other applicable advertising standards. Disclosures must be:

• Clear and conspicuous
• Placed near facilitator links or at the beginning of promotional content
• Easy to understand (e.g., "This post contains facilitator links" or "#ad #facilitator")

8. Intellectual Property

8.1 License Grant

We grant you a limited, non-exclusive, non-transferable license to use IKSectors logos, banners, and marketing materials provided through the facilitator dashboard solely for promoting our services in accordance with these Project Facilitator Terms.

8.2 Restrictions

You may not:

• Modify our trademarks, logos, or marketing materials
• Use our intellectual property in any way that suggests endorsement of your products or services
• Register any domain names or social media handles containing our trademarks
• Create derivative works based on our marketing materials without written permission

8.3 Your Content

You retain ownership of content you create to promote our services. However, by participating in the Program, you grant us a non-exclusive, royalty-free license to use, reproduce, and display such content for marketing and promotional purposes.

9. Confidentiality

You agree to keep confidential any non-public information shared with you through the Program, including but not limited to:

• Commission rates and payment structures
• Conversion rates and performance data
• Upcoming products, services, or features
• Marketing strategies and promotional materials not yet public

This confidentiality obligation survives termination of your participation in the Program.

10. Term and Termination

10.1 Term

Your participation in the Program begins upon approval of your application and continues until terminated by either party.

10.2 Termination by You

You may terminate your participation at any time by providing written notice through your facilitator dashboard or by emailing facilitators@iksectors.co.uk.

10.3 Termination by Us

We may terminate your participation immediately if you:

• Violate any provision of these Project Facilitator Terms
• Engage in fraudulent or illegal activity
• Damage our reputation or brand
• Fail to comply with applicable laws or regulations
• Remain inactive for more than 12 consecutive months

We may also terminate the Program entirely or your participation with 30 days' written notice for any reason.

10.4 Effect of Termination

Upon termination:

• Your right to use our trademarks and marketing materials immediately ceases
• You must remove all facilitator links from your promotional channels
• Pending approved commissions will be paid according to normal schedule
• Pending or disputed commissions may be forfeited if termination is for cause
• Commissions below the minimum payout threshold may be forfeited

11. Limitation of Liability

To the maximum extent permitted by law, IKSectors Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the Program, including but not limited to:

• Loss of profits, revenue, or anticipated earnings
• Loss of data or business opportunities
• Business interruption
• Technical failures or program unavailability

Our total liability for any claims arising from or related to the Program shall not exceed the total commissions paid to you in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless IKSectors Ltd., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your participation in the Program
• Your promotional activities
• Your violation of these Project Facilitator Terms
• Your violation of any third-party rights
• Your violation of applicable laws or regulations

13. Disclaimer of Warranties

The Program is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee:

• The Program will be uninterrupted or error-free
• Any particular level of commissions or earnings
• The accuracy or reliability of tracking systems
• The conversion of referrals into paying customers

14. Governing Law and Disputes

For Facilitators registered through iksectors.co.uk, these Project Facilitator Terms are governed by and construed in accordance with the laws of England and Wales, and disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

For Facilitators registered through iksectors.com, these Project Facilitator Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, and disputes shall be subject to the exclusive jurisdiction of the courts of the Federal Republic of Nigeria.

Before pursuing litigation, both parties agree to attempt resolution through good faith negotiations and, if necessary, mediation through a mutually agreed mediator.

15. General Provisions

15.1 Entire Agreement

These Project Facilitator Terms, together with our Terms of Use and Privacy Policy, constitute the entire agreement between you and IKSectors Ltd. regarding the Project Facilitator Program.

15.2 Severability

If any provision of these Project Facilitator Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Project Facilitator Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer your rights or obligations under these Project Facilitator Terms without our prior written consent. We may assign our rights and obligations at any time.

15.5 Independent Contractor

Nothing in these Project Facilitator Terms creates an employment, agency, partnership, or joint venture relationship between you and IKSectors Ltd. You are an independent contractor solely responsible for your own taxes, insurance, and compliance obligations.
